Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "Artist", "Label", or "Manager") and Masterstreams LLC, doing business as LISTN VIP ("we," "us" or "our"), concerning your access to and use of the LISTN website as well as any other media form, media channel, mobile website or application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms of Service.

2. Definitions

  • Platform: The LISTN VIP software, website, and related infrastructure.
  • Artist/User: The individual or entity (such as a Label or Manager) creating and managing campaigns.
  • Fan: The end-user who interacts with the Artist's portal.
  • Portal: The customized digital experience created by the Artist/User for their Fans.
  • Master Admin: The LISTN VIP system administrators operating the overarching platform infrastructure.
  • Services: The tools, features, and hosting provided by LISTN VIP to the Artist/User.

3. Privacy of Artist Data (Data Isolation Guarantee)

LISTN VIP employs a strict Multi-Tenant Architecture ensuring that every Artist's and Label's fan data, analytics, and portal content are 100% logically isolated. This data is entirely inaccessible by any other user on the platform. Each user only has access to the specific data associated with their own authenticated account.

4. Content Ownership

Artists and Labels retain 100% ownership of all uploaded metadata, cover art, audio previews, and fan contact lists generated through their portals. LISTN VIP acts solely as the technical administrator and data processor.

We do not claim any intellectual property rights over your User Content. Upon account termination, users may request a complete export of their data in a standard format.

5. Payment & Subscription Policy

All payments for subscriptions (including Basic and Pro tiers), VIP access upgrades, and platform fees are non-refundable and non-creditable. Subscriptions automatically renew at the end of each billing cycle.

Users can cancel their subscription at any time, but access will continue through the end of the current paid billing period. We do not provide prorated refunds for mid-cycle cancellations.

6. Third-Party Platform Compliance

By using LISTN VIP, you agree to also comply with the terms of the third-party integrations that power your portals. This includes, but is not limited to:

  • Spotify Developer Terms of Service
  • YouTube API Services Terms of Service (including Google Privacy Policy)
  • Apple Music API Terms

LISTN VIP is not responsible for any changes to third-party APIs or terms that may affect platform functionality.

7. Administrative Rights & Account Suspension

LISTN VIP (as the Master Admin) reserves the right to suspend, restrict, or permanently disable any account for: non-payment, breach of these Terms, violation of third-party platform terms, or breach of professional conduct.

We will make reasonable efforts to notify the user prior to suspension, except in cases of suspected fraud, security threats, or emergency legal compliance.

8. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, but are not limited to:

  • Reverse engineering or decompiling any platform software.
  • Unauthorized data scraping or automated mining.
  • Impersonating another Artist, Label, or entity.
  • Using the platform for malicious, illegal, or unauthorized purposes.

9. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages. The platform is provided on an "as-is" and "as-available" basis.

10. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Services or breach of these Terms.

11. Governing Law

These Terms of Service and your use of the Site are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change.
